Present Terms & Conditions governs the relationship between ITQAN Global for Cloud & Digital Computing Systems Digital Okta LLC herein referred to as “ITQAN” and “You” , for the purpose of present terms and Conditions, reference to “You” or “Your” shall refer to the user of website), and is made effective as of the date of your use of this website (“Site") or the date of electronic acceptance, whichever is earlier.  These Terms and Conditions governs your use of the Site or the products and services procured or accessed via this Site (individually and collectively, the “Services”).

Services Agreements, pertaining to products and services shall be read along with these Terms and Conditions. In the event of a conflict between the Services Agreement and these Terms and Conditions, the Service Agreement shall prevail.

ITQAN may change or modify these Terms and Conditions in its absolute and sole discretion, and such changes or modifications shall be effective immediately upon updating on this Site. Your use of this Site or the Services after such changes or modifications have been made shall constitute your acceptance of these Terms and Conditions. If you do not agree to these Terms and Conditions, do not use this Site.
ITQAN may, as and when required, notify you about any change or modification pertaining to present Terms and Conditions and in case you do not receive any such notification due to the reasons of incorrect e-mail address, no liability shall be borne by ITQAN.

By using this Site, you represents that you are

(i) at least eighteen (18) years of age

(ii) otherwise recognized as being able to form legally binding contracts

Your perusal of these Terms and Conditions on behalf of an incorporation reflects your legal authority to bind such corporate entity to the terms and conditions contained herein, and in said case the terms “you", “your", “User" or “customer" shall refer to such incorporation.
Upon the acceptance of these Terms and Conditions, if it is revealed that you do not have authorization to bind such entity, you will hold responsibility in your personal capacity, for all the obligations, including but not limited to financial obligations, arising out of these Terms and Conditions

You represent and warrant that all information you provide to ITQAN is accurate, up-to-date, authenticated and complete. If, in any circumstance, ITQAN finds or has reasons to believe that the information you provided is incorrect, false or incomplete, ITQAN reserves it’s the right, to suspend or terminate your account or contract with you.
You must immediately inform ITQAN of any security breach or unauthorized use of your information. You will be wholly and solely liable for any unauthorized use of your information. You will also be wholly and solely liable for any loss ITQAN may suffer on account of any unauthorized use of your information.

You acknowledge and agree that:
i. Your use of this Site , including related Services Agreement shall comply with all applicable local laws, UAE Federal laws, all international laws, rules and regulations.
ii. You will not accumulate or store any personal information about another User
iii. You will not use this Site in a manner which:
• Is unauthorized, illegal, unlawful, immoral, anti-social or endorses or promotes illegal activity;
• Endorses any spam or other uncalled-for bulk email or e-mail marketing, indulge in reverse engineering of the network, or hacking of the site hereto;
• Infringes intellectual property rights of another User or any other person or corporate entity;
• Shows the use of worms, viruses, bugs or install any file or code (program) which may damage, disorder or disrupt the functioning of site or any of the service provided thereto;
• Which shows ITQAN in bad reputation or violate the goodwill of ITQAN
iv. ITQAN treats and receives its clients, Users or audience on a serious policy to serve best its clients, Users or audience with its best facilities and for the same purpose ITQAN may call you as and when it deem fit, such calls are subject to recording and you consents to it. Said call recording shall be subject to applicable laws. By agreeing to these Terms and conditions, you agree and consent to ITQAN to use any such recording against you in any legal proceedings wherein ITQAN is or maybe a party. You also consents to receive automated marketing e-mails and telephone calls from ITQAN.
v. ITQAN, in its whole and sole discretion, reserves its right terminate, deny, suspend, repudiate or limit your any future use or access to this site or services.

ITQAN holds the data of its clients and Users in a strict confidential manner. During the course of client, customer or User Interface and interaction or provision of its services, ITQAN may collect a variety of information from its audience or User. All the Date collected or received by any User or client is held and protected by ITQAN with highest confidentiality obligation and confirms that no such data, ever collected or received from its clients or Users shall be shared to any unauthorized personal or incorporation.

All content included in or made available through this Site, such as text, graphics, logos, button icons, images, audio clips, software, program codes, digital downloads and data compilations is the property of either ITQAN, its master suppliers or its content suppliers and is protected by local and international copyright, trademark and other intellectual property laws.
You may not extract and/or re-utilize parts of the content of any ITQAN Site or Service without our express written consent. Any use, collection, modification, compilation, copy, imitation or unauthorized commercial exploitation will result in infringements and violations of ITQAN’s, its service provider’s or its content provider’s intellectual property rights and the same will be subject to appropriate civil/criminal legal proceedings against you, as per applicable law.

Subject to the terms and conditions herein mentioned, ITQAN shall use all reasonable efforts to attempt to provide this Site and related services on a twenty-four (24) hours a day, seven (7) days a week basis. However you acknowledge and agree that from time to time this Site may be inaccessible or inoperable for any reason including, but not limited to, equipment malfunctions; periodic maintenance, repairs or replacements that ITQAN undertake as and when required; or causes beyond reasonable control or that are not reasonably foreseeable by ITQAN. You acknowledge and agree that ITQAN have no control over the availability of this Site or the related service on a continuous or uninterrupted basis, and ITQAN assume no liability to you or any other party with regard thereto.

ITQAN majorly provide variety of services pertaining to Microsoft and Amazon. All the deliverables shall be subject to the Master Service agreement (Microsoft and) Master Service Agreement (Amazon).

10.1. Company shall pay Digital Okta for the Licenses and the Services along with all agreed charges set forth in the related Service Agreement. All prices and availability are subject to change unless agreed upon through a binding order confirmation or a Service Agreement signed by both parties.

10.2. Digital Okta will invoice, and Company shall pay the invoiced amounts, plus pertinent taxes.

10.3 If payment terms are not indicated in a Service Agreement, invoices shall automatically be due 14 calendar days following the invoice date. All payments made by you to Digital Okta shall be in the currency of the country where Digital Okta is located, which delivers the Licenses or Services, unless otherwise agreed between the Parties.

10.4. If you do not pay the amounts owed in a timely manner, then Company shall pay interest charges and late payment fees on the outstanding amount, without any written demand or notice of default being necessary. All past due amounts will bear interest at the lesser of 1.5 % per month or the highest rate allowed by law, until the invoice is paid in full.

10.5. You shall pay all charges incurred by authorized users of its account, by credit card, by wire transfer or other similar payment mechanisms in effect. To the extent permitted by applicable law, Digital Okta may require you to pay transaction charges levied by credit card issuers relating to purchases. You shall reimburse Digital Okta for all bank fees relating to checks, credit card or bankcard, and sales drafts returned by your bank or card issuer. You shall pay all attorney fees, court costs, collection agency fees, or any other costs incurred by Digital Okta in collecting any overdue amount owed.

10.6. You shall not set off amounts against amounts payable under any services or Service Agreement.

10.7. In the event of payment default by you by more than fourteen (14) calendar days, Digital Okta shall be entitled to prohibit the use of the Licenses, Services, and Deliverables with immediate effect (contractual right of prohibition/services suspension).

10.8. Digital Okta retains the title on the Licenses, together with all right, title, and interest to the Services and Deliverables until all its future payment claims against you at the time of the service or in connection with the delivery items have been settled. With respect to current accounts, the retained ownership shall be regarded as security for the offset balance or current account receivable from you.

11.1. You shall inspect the Licenses received within a reasonable time, but not exceeding five (5) Business Days from the date of receipt, to ensure that the Licenses delivered are in the correct quantity and type. In the event of errors in the quantity or type of Licenses, or to the extent allowed by the Licensor’s return policies, you may return the Licenses. If you not object to the quantity or type of Licenses within five (5) Business Days, then such Licenses will be deemed accepted upon the delivery date. Digital Okta will not accept the return of supplied Licenses unless such returns are admissible as per the Licensor’s return policies. If the Licenses received are not those detailed in the contract, you shall inform Digital Okta no later than ten (10) Business Days of delivery.

11.2. You acknowledges that certain Licensors have automatic renewal provisions for the Licenses, requiring licenses to provide notice of their intention not to renew a License. If Licenses purchased under a contract contain an automatic renewal provision, Digital Okta shall make commercially reasonable efforts to notify you of such provision within the Service Agreement. If you do not wish to renew a License with an automatic renewal provision, then you shall provide notice to Digital Okta of its intention not to renew a License thirty (30) days in advance. If you fails to deliver the required notice of intent not to renew, then the License will renew and you will be responsible for payment.

This Site and the Services provided through this Site may contain links to third-party websites that are not owned or controlled by ITQAN. ITQAN hereby specifically declares that ITQAN assumes no liability or responsibility from any of the contents, terms and conditions or practices of any third party website, UNLESS expressly provided herein.

ITQAN base its relations with its Users or client regarding these Terms and Conditions on the principles of good will and good faith. All disputes arising in connection with these Terms and Conditions, if not amicably resolved between the parties within forty-five (45) days of the first notice received by any of the Party, Shall be finally disposed of and adjudicated by the Courts of Abu Dhabi, UAE.
These terms and Conditions shall be governed by the federal laws of UAE as enforced in the Emirate of Abu Dhabi, and the laws of the Emirate of Abu Dhabi

The titles and headings of these Terms and Conditions are for convenience and ease of reference only and shall not be utilized in any way to construe or interpret the Terms and Conditions or agreement of the parties as otherwise set forth herein.
